- Opérations M&A : Participer activement à toutes les phases des transactions, de l'évaluation initiale à la due diligence, à la négociation des contrats et à la clôture.
- Droit des sociétés : assurer le « corporate housekeeping » des sociétés luxembourgeoises. Rendre des avis en matière de droit des sociétés luxembourgeois. Interagir avec les conseils externes de la société.
- Conformité réglementaire : S'assurer que toutes les sociétés luxembourgeoises et les transactions réalisées respectent les lois et réglementations en vigueur au Luxembourg, en coordonnant avec les autorités fiscales et autres organismes gouvernementaux.
- Collaboration interne et mobilité: Basé au Luxembourg, mais pouvant être amené à se déplacer en Belgique, principalement du côté de Charleroi afin de collaborer étroitement avec l'équipe d'investissement (composée d'une dizaine de personnes).
- Gestion des risques : Identifier et atténuer les risques juridiques et fiscaux associés aux opérations du groupe, en élaborant des stratégies pour minimiser ces risques.

- Excellente compréhension de la fiscalité luxembourgeoise et capacité à appliquer cette expertise dans un contexte M&A
- Maîtrise professionnelle de l'anglais (écrit comme oral), en complément du français

Il nous ont confié le recrutement d'un(e) Juriste Corporate/M&A.
Au sein d'une petite équipe au Luxembourg, vous travaillerez en étroite collaboration avec le directeur juridique, tous deux basés en Belgique.
Vous aurez un rôle clé sur toutes les opérations d'investissements en support au Directeur Juridique. Vous apporterez votre expertise dans le cadre de transactions complexes de participation, acquisition, cession et restructuration impliquant des entités luxembourgeoises.
