_Goal_

  • The main goal of this inhouse counsel position in the legal department is to provide highquality legal and corporate secretary services to the company._

Responsibilities
- _- _Advising the various departments on Luxembourg and cross-border legal issues _
- _- _Drafting and negotiating contracts and other legal documents, including (re)insurance, distribution, information technology, outsourcing and service agreements_
- _- _Monitoring legal and regulatory changes and assisting in their implementation, in cooperation with the Compliance Officer_
- _- _Drafting legal templates and processes, maintaining legal databases_
- _- _Management of litigation cases in various jurisdictions, in cooperation with outside counsel_
- _- _Efficient management of outside counsel _
- _- _Participation in cross-functional projects_
- _- _Drafting and implementing governance policies and terms of reference for the board and committees_
- _- _Managing trademarks worldwide_
- _- _Interacting with senior management, supervisory authorities and industry associations_
- _- _Assist in coordinating board, committee and shareholder meetings, setting the schedule, convening participants, drafting agendas, preparing for meetings, drafting resolutions and minutes, tracking and following up on action items_
- _Providing other corporate secretary services, such as filing documents with the Luxembourg Trade and Companies Register, having documents notarized_


Profile

  • University degree in law (Master's or equivalent level), bar exam is an asset
  • Similar experience in international insurance
  • Excellent knowledge of insurance and corporate law
  • Very good contract drafting skills
  • Excellent analytical, negotiation and communication skills
  • Ability to present results in a comprehensible way
  • Highly motivated and enjoy working in an intercultural environment
  • Strong team player, dynamic and resilient with the ability to prioritize and work independently
  • Interest in legal technology
  • Fluency in English and French. Knowledge of German language is an asset.
