We are seeking a Senior Corporate Officer for our Corporate Services team


As part of the Advisory department, our Corporate Services team provides corporate secretarial services to guide our clients through statutory and legal obligations in Luxembourg and helps clients to deal with the particularities of the Luxembourg jurisdiction and related challenges arising from a constant evolving environment.

Our dynamic and international team assist clients from the establishment of their structures in Luxembourg and all along the life of the companies until a potential liquidation.

We support our clients in gaining a better understanding of the corporate environment and identifying laws and regulations that have an impact on their activities.

As Senior Corporate Officer, you will play a central role in the corporate services team and a key role in supporting our clients in their corporate journey.

You will be a trusted point of reference and help clients with the challenges they are facing, while leveraging your extensive legal and compliance experience.

What you will be working on

  • You will be involved in all aspects of the corporate secretarial administration of Luxembourgish companies
  • You will be involved with the administrative support, company secretarial and corporate governance services for Luxembourg companies and perform all daytoday duties linked to the general administration of the portfolio clients and ensure and coordinate tasks of other teams for such clients
  • You will take care of the organization/preparation of board and shareholders meetings, creation/update of shareholders' registers, bank account openings
  • You will assist our clients from incorporation to the liquidation of their Luxembourg structures
  • You will ensure that the companies' registers are kept up to date (shares, PECs, CPECs etc )
  • You will track and check documents (legislation, signature ), keeping our database of corporate information of clientcompanies uptodate
  • You will be the contact point for your clients (for your own portfolio) and will coordinate with external parties (notaries, legal advisors, tax advisors, auditors, banks)
  • You will assist in client related projects and support the management in the implementation of new projects
  • You will coach junior corporate officers and will review their work

What we look for

  • Minimum of 3 years of relevant working experience in corporate services (service provider or inhouse)
  • Holding a Master's degree in Law
  • You speak English fluently, any other languages would be a valuable asset
  • You have a strong knowledge and understanding of corporate law as well as the legal and administrative Luxembourg funds and corporates industry regulations
  • You have prior experience in minutes drafting (in English), in particular for operational and transactional board meetings
  • You have great presentation and communication skills as you will have the opportunity to be in direct contact with our clients
  • You are proactive, solutions oriented, and know how to deal with confidential information
  • You have a good knowledge of MS-Office software
  • You have strong analytical and organisational skills, with a strong attention to details
  • You are dynamic, rigorous and you have excellent communication skills
  • You are a real team player
