The
European Investment Fund (EIF) is seeking to recruit for
its General Secretariat (GS) - Corporate and Institutional Affairs (CIA) Department - Institutional Affairs (IA) Division, at its headquarters
in Luxembourg, several
(Senior/Principal) Corporate and Regulatory Lawyer(s).

These are full-time positions (with limited travel requirements) at grade 4/5 or 5/6 (depending on experience) for which the EIF offers a permanent contract.

Purpose:

_**The Investment Structures & Vehicles (ISV) Unit is part of the Institutional Affairs Division (IA) and provides analysis and legal advice on matters relating to the alternative investment fund structures developed and advised by EIF, as well as on a wide range of regulatory and institutional matters (e.g., laws and regulations applicable to EIF activities, internal policies and procedures).

You will be part of the Investment Structures & Vehicles Unit, and will report to the Head of Unit, who in turn reports to the Head of Division.

You will work autonomously under the supervision of the Head of Unit and coordinate your actions with the other Divisions within EIF's Legal Service and/or other relevant services.

Subject to business needs, the Head of Division may partially assign to you tasks under the remit of other teams within the Institutional Affairs Division.


_ Responsibilities__:

_**At a level commensurate with your experience and seniority, you will carry out work relating to all tasks within the Unit's remit, as well as legal work in relation with other tasks of the Division.


You will, in particular, be requested to:

  • Advise on legal matters in respect of fundraising activities, in particular the crossborder marketing and distribution of alternative investments funds mainly to professional and institutional investors across several jurisdictions (both within and outside the EU);
  • Provide advice on the legal structuring of investment vehicles (mainly multicompartment structures in Luxembourg);
  • Advise on daytoday corporate law matters of investment vehicles, which may include support to corporate bodies of such vehicles on legal and regulatory matters and advice on general corporate governance best practices;
  • Advise on regulatory frameworks applicable to EIF and/or its activities, including in the areas of EU policies (e.g., Alternative Investment Fund Managers Directive (AIFMD), ESG regulatory framework, taxation and other national or international regulatory frameworks and international standards);
  • Participate in, and advise on, the negotiation and drafting of contracts and other legal documentation, when EIF acts either under mandate(s) (including negotiations with the EIB, the European Commission and EU Member States) or for its own account as an EU body;
  • Monitor and analyse the ongoing developments on AIFMD, corporate law, EU policy areas, with a particular focus on the implications for the EIF's activities;
  • Actively contribute to the development and maintenance of a legal and regulatory watch system;
  • Actively contribute to knowledge sharing within the team;
  • Actively establish relationships and represent the Department in internal working groups (meetings and/or panels) and against external counterparts, which may include third party mandators, external law firms, etc;
  • In addition, for Senior Lawyer(s), guide, train and, if required, lead more junior staff members.

_ Minimum requirements:
_


  • University degree in the law of one of the EU Member States, preferably at postgraduate level;
  • At least three (3) years' postgraduation (after having obtained your initial university diploma) relevant professional experience at the same level of responsibility, or at least five (5) years' postgraduation (after having obtained your initial university diploma) relevant professional experience at the same level of responsibility for the Senior position;
  • Experience of leading negotiations and drafting agreements and memoranda on relevant legal matters;
  • Excellent knowledge of written and spoken English. Good command of other EU languages would be an asset.

  • Thorough knowledge in the field of alternative investment fund laws and regulations, corporate law and/or commercial law;
  • Experience in working at an international law firm, as a VC/PE fund manager and/or at International Financial Institutions;
  • Knowledge of EU laws, as well as of multicompartment structures, funds of funds activities and/or M&A transactions;
  • Knowledge of EIF's operational framework;
