Job DESCRIPTION:


  • You will have the daytoday responsibility for a varied portfolio containing private equity corporate entities (various legal forms) and will act as one of the main liaison and points of contact for all company secretarial matters relating to the clients;
  • You will be an important link between management and junior staff, responsible for the quality of the work that is carried out for your clients. This will include training junior staff, delegating tasks, reviewing work and providing feedback;
  • You will oversee various company secretarial transactions (for example and not limited to incorporation, share allotment, capital reduction, change of directors/managers, amendment of articles of association, power of attorney, liquidation etc.) to include preparation and/or review of the necessary corporate approvals and legal formalities;
  • You will assist in the preparation of and attendance of Board of Directors/Managers and shareholders meetings, including the initial preparation of board packs and post board meeting actions (follow up on action logs, execution of documents etc.), ensuring minutes turnarounds are respected;
  • You will ensure both internal and external processes and key performance indicators (KPIs) are adhered to and followed;
  • You will maintain the statutory records for the entities and ensure any filing requirements are met;
  • You will proactively arrange a regular review (healthcheck) of the entities' records with your team;
  • You will collaborate with other Alter Domus teams (e.g. Accounting teams as well as other Alter Domus offices) and external thirdparty intermediaries (e.g. lawyers, banks, other service providers) with a focus on client service delivery;
  • You will work on the setup and / or onboarding of client structures including drafting of Alter Domus services agreement, and administering complex international structures;
  • You will assist with the preparation, collation and ongoing monitoring of Know Your Customer / Client Due Diligence;
  • You will monitor changes in relevant legislation and the regulatory environment and take the appropriate action;
  • You will assist the management with the billing and cash collection.

Your PROFILE:


  • Hold a university degree and/or relevant professional qualification (ILA, ICSA or other) or be working towards one; a law degree (and ideally in company law) would be strong asset;
  • You have 3 years or more of relevant experience (company secretarial and managing corporate structures of a similar nature);
  • You are either an English native speaker or highly proficient in spoken and written English at a near native level (knowledge of French and/or German will be considered as an asset);
  • You have excellent board support and minute writing skills;
  • Knowledge of the private equity funds' regulatory environment in Luxembourg would be the asset;
  • You possess team spirit, the capacity to build strong client relationships, and take initiative to act without waiting for direction when appropriate;
  • You adopt a flexible and handson approach;
  • You are organised with an eye for detail;
  • You have the ability to prioritise and to handle multiple projects simultaneously;
  • You possess good communication skills and you are able to deal with people at all levels.
